Terms of Use

1.1 This Terms of Use document (these "Terms") applies to the website at www.mabat360.net (the "Site"), which is operated by Mabat 360 Ltd. (the "Company"). The Site is an informational website intended for an Israeli audience, presenting information about the Company's activities. It does not include any option to purchase products or services and does not require user registration.

1.2 These Terms constitute a binding agreement between you (the "visitor" or "user," whether an individual or an entity) and the Company regarding the use of and browsing on the Site through any means (computer, mobile phone, tablet, etc.). By browsing the Site and submitting an inquiry via the "Contact Us" form, you signify your consent to and acceptance of all the Terms of Use below. If you do not agree to any of these Terms (in whole or in part), you must refrain from using the Site.

1.3 Any wording in these Terms that is in the masculine form is for convenience only and is intended to refer to all genders equally. These Terms are addressed to everyone, men and women alike.

1.4 Section headings are provided for convenience of reading only. If any provision of these Terms is held to be illegal, invalid, or unenforceable, that will not affect the validity and enforceability of the remaining provisions of the Terms.

1.5 In general, browsing and reviewing the Site do not require registration, and the Site is open to all users. Without derogating from the aforesaid, the Site reserves the right, at its sole discretion, to prevent an unregistered user from accessing certain services on the Site, for any reason or rationale, without prior notice or warning, and without being liable for any damage resulting from such decision.

2.1 The user agrees to use the Site only for lawful and reasonable purposes, in accordance with all applicable laws and these Terms of Use. It is prohibited to use the Site for any unlawful purpose, any purpose forbidden by these Terms, or any purpose that infringes the rights of any third party.

2.2 The user shall not perform via the Site (or in connection with it) any act that constitutes an offense or a tort, and shall not attempt to gain unauthorized access to protected parts of the Site, the Company's servers, or its computer systems.

2.3 The user shall not upload, transmit, or distribute through the Site any harmful content, including but not limited to viruses, malicious software, Trojan horses, spam, or any unlawful or offensive material or any material that infringes another party's rights. When filling out the contact form on the Site, the user agrees to provide only true, current, and accurate information about themselves (name, email, phone). The user shall not impersonate any person or entity, and shall not provide the contact details of any third party without that party's consent.

2.4 The Company may, at its sole discretion, prevent any user from accessing the Site or block a user's ability to use the Site (including by blocking an IP address), either temporarily or permanently, if the user has violated these Terms of Use, provided false information, or performed any action that harms or could harm the proper operation of the Site or the rights of other users or of the Company.

3.1 All intellectual property rights in the Site and the content appearing on it (including the Site's design, text, images, videos, trademarks, logos, software code, and the like) are owned by the Company, or the Company is lawfully licensed to use them from the rights holders. These rights are protected under the laws of the State of Israel, international treaties, and relevant copyright, trademark, and other intellectual property laws.

3.2 You may not copy, distribute, publicly display, reproduce, translate, transmit to any third party, modify, sell, rent, or make any commercial use of the Site's content, in whole or in part, without obtaining the Company's prior written permission.

3.3 The trademarks, trade names, and logos on the Site (including 'Mabat 360°' and 'מבט 360') are the property of the Company (or of third parties that have permitted the Company to use them). No use may be made of these marks in any manner without the Company's prior written consent.

3.4 The Company respects the intellectual property rights of third parties. If you believe that any content on the Site infringes your copyright or proprietary rights, please notify us as soon as possible using the contact information provided at the end of these Terms of Use. The Company will review the notice and address it as necessary.

4.1 The Site and all content and services on it are offered to the public "as is," without any undertaking, representation, or warranty of any kind, express or implied, on the part of the Company. The content on the Site is available for use as-is; it may not meet the specific needs of every user, and the user will have no claim against the Company for content that is not tailored to their needs.

4.2 The information on the Site is general in nature and does not constitute professional advice (including technical, business, financial, or other advice), nor does it constitute a binding offer by the Company. Any decision made by the user based on information from the Site is done at the user's own discretion and sole responsibility. The user should perform independent verification and obtain separate, personalized professional advice before relying on any information from the Site.

Any access by the user via a link from the Site to a third-party website is at the user's own discretion and risk. The Company is not responsible for the content, information, or any service on third-party websites, for their privacy practices, or for any outcome that may result from using or browsing those sites.

4.6 Remember that the fact the Site is linked to other sites or information does not constitute the Company's endorsement of their content, and does not serve as any guarantee of their reliability, timeliness, legality, the privacy practices of their operators, or any other aspect related to their operation.

5.1 The Company respects the privacy of users of the Site. When using the "Contact Us" form on the Site, the user will be asked to enter personally identifying information (such as name, telephone number, and email address). Providing this information is done of the user's own volition and consent. These details will be stored and processed in accordance with the Site's Privacy Policy, as detailed in the "Privacy Policy" document available on the Site, which constitutes an integral part of these Terms of Use.

5.2 The personal information provided by the user through the contact form will be used by the Company solely for the purpose of contacting the user and responding to their inquiry, and in accordance with the Privacy Policy. The Company will not use this information for any other purpose and will not disclose this personal information to third parties, except as detailed in the Privacy Policy (for example, if required by law or for the purpose of protecting the Company's rights).

6.1 The user agrees to indemnify and compensate the Company, its shareholders, directors, employees, or anyone acting on its behalf, for any damage, loss, loss of profit, payment, or expense (including attorneys' fees and court costs) caused to them due to the user's breach of any of these Terms of Use and/or due to any illegal act or tort committed by the user in connection with the Site, and/or in connection with any claim or demand by a third party resulting from an act or omission of the user.

7.1 The Company may change, update, or amend these Terms of Use from time to time. Any change in the Terms will take effect from the moment of its publication on the Site. It is the user's responsibility to review the most current Terms of Use upon returning to the Site. Continued use of the Site after a change in the Terms constitutes the user's consent to the updated Terms. If material changes are made to the Terms, the Company will make an effort to post a prominent notice to that effect on the Site.

7.2 The Company may from time to time change the structure of the Site, its appearance, content, scope and availability of the content and services, as well as any other aspect related to the Site and its operation, all without the need for prior notice. Such changes may be accompanied by malfunctions or initially cause inconvenience, disruptions, etc. The user will have no claim or demand against the Company in respect of making such changes or for any malfunctions that occur in the course of their implementation.

7.3 The Company reserves the right to discontinue the operation of the Site at any time, either temporarily or permanently, to reduce it, to shut down the Site or to condition access to it – in whole or in part, at its sole discretion. In the event that the Site is permanently closed, the Company will post a notice to that effect on the Site within a reasonable time in advance.

7.4 These Terms of Use are valid throughout the period of use of the Site. The Company may immediately terminate your access to the Site if you violate the Terms of Use or misuse the Site, without prejudice to the Company's rights under law. In such case, you must immediately cease any further use of the Site, and you will have no claim or demand against the Company in connection with the blocking of access.

8.1 These Terms of Use constitute the full and exclusive agreement between the user and the Company with respect to use of the Site, and supersede any prior representation or agreement on this matter. Any waiver, extension, indulgence or forbearance by the Company towards a user will not constitute a precedent in any other case and will not be construed as a waiver of any of the Company's rights under these Terms.

8.2 The Company may assign or transfer its rights and obligations under these Terms (in whole or in part) to a third party, for example in the event of a merger, transfer of ownership of the Site or reorganization of the Company's operations, provided that the third party undertakes to assume the Company's obligations under these Terms of Use. The user may not assign, transfer, or pledge any of their rights or obligations under these Terms to any other party, except with the Company's prior written consent.

8.3 These Terms, and any legal matter concerning the Site, shall be governed solely by the laws of the State of Israel, without regard to its conflict-of-law principles. The exclusive jurisdiction to hear any dispute or legal issue arising from these Terms of Use or from use of the Site is vested in the competent courts in the District of Tel Aviv, Israel.

8.4 The failure of the Company to enforce any right or to take action in response to a breach of these Terms by a user shall not be deemed a waiver by the Company of its right to enforce any term or as consent to any subsequent breach of the same or any other term.
